Terms and Conditions

1. Acceptance of terms

By accessing or using the services of NextAura Technologies S.L. ("NextAura", "we" or "our"), you agree to be bound by these Terms and Conditions. If you do not agree with any of its terms, you must not use our services.

These terms constitute the complete agreement between you and NextAura in relation to the use of the platform, complementing any specific service contract you may have with us.

2. Service description

NextAura provides the following technology services:

• Software development: development of custom web and mobile applications.
• AI automation: implementation of autonomous agents, intelligent chatbots and predictive analysis systems.
• IT consulting: technical audits, architecture design and digital roadmap.
• Maintenance and support: continuous monitoring, security updates and technical support.
• Management platform: access to the client area for project, ticket and invoice management.

We reserve the right to modify, suspend or discontinue any aspect of the service at any time, although we will always try to communicate this with reasonable notice.

3. User account

Registration and responsibility

• You must provide accurate, complete and up-to-date information when creating your account.
• You are responsible for maintaining the confidentiality of your access credentials.
• You must notify us immediately of any unauthorised use of your account.
• You may not create more than one account per company without express authorisation.

Account security

We strongly recommend activating two-factor authentication (2FA). NextAura will not be responsible for losses caused by unauthorised use of your account when you have not activated the available security measures.

4. Acceptable use

By using our services, you agree NOT to:

• Violate applicable laws or regulations, including those relating to privacy and data protection.
• Transmit malicious, defamatory, obscene content or content that infringes third-party rights.
• Attempt to gain unauthorised access to systems, accounts or data of other users.
• Reverse engineer, decompile or disassemble any part of the platform.
• Use our services for fraudulent activities, spam or to create attack tools.
• Deliberately overload our infrastructure or interfere with other users' service.
• Resell or sublicense platform access without written authorisation.

5. Intellectual property

NextAura's property

The platform, its design, source code, algorithms, trademarks and content are the exclusive property of NextAura and are protected by intellectual property legislation. No implied licence is granted over them.

Your content

You retain ownership of all content you provide us. You grant us a limited, non-exclusive and revocable licence to use such content solely for the purpose of providing the contracted services.

Project deliverables

Intellectual property rights over the deliverables of each project are detailed in the specific services contract. In the absence of a written agreement, ownership transfers to the client once full payment is completed.

6. Payments and billing

• Prices are agreed individually in each proposal or services contract.
• Payments are made according to the agreed schedule (milestones, monthly instalments or one-time payment).
• Invoices are issued with the tax details provided by the client.
• Payment delays of more than 30 days may result in temporary suspension of the service.
• All prices are expressed in euros and include applicable VAT according to Spanish legislation.

7. Privacy

The processing of your personal data is governed by our Privacy Policy which forms an integral part of these Terms and Conditions. By accepting these terms, you also accept the conditions of the Privacy Policy.

8. Warranties and limitations of liability

NextAura provides its services with maximum professional diligence. However, to the extent permitted by applicable law:

• Services are provided "as is", without implied warranties of fitness for a particular purpose.
• We do not guarantee uninterrupted operation (although we aim for 99.9% uptime).
• Our maximum liability for any claim is limited to the amount paid in the 6 months prior to the event giving rise to the claim.
• We are not liable for indirect, incidental or consequential damages except in cases of wilful misconduct or gross negligence.

9. Service termination

Either party may terminate the contractual relationship with 30 days' written notice, unless the specific contract establishes different conditions.

NextAura may suspend or cancel access immediately and without notice in case of serious breach of these Terms, fraudulent activity or when required by law.

After termination, you have 30 days to export your data before it is deleted from our systems, as described in the Privacy Policy.

10. Applicable law and dispute resolution

These Terms and Conditions are governed by Spanish law. For the resolution of any dispute, the parties submit to the Courts and Tribunals of Madrid, expressly waiving any other jurisdiction.

Before initiating any legal action, the parties undertake to attempt to resolve the dispute amicably for a minimum period of 30 days.
